Conversion to Charitable Incorporated Organisation (CIO)

Since the introduction of the CIO model a few years ago, a large number of incorporated charities have expressed interest in converting to the new legal structure. Over 6,500 new CIOs have registered, and the CIO status now accounts for approximately 25% of all new registrations. It has not been possible however to convert from a company structure to CIO as additional legislation was awaited.

A consultation document has been published in respect of conversion from Charitable Company and Community Interest Company (CIC) to CIO status.

The document sets out the provisional timetable for phased implementation. This begins with charitable companies with an income greater than £500,000 from 1 October 2016 and moves through progressively smaller bands until the process would open to charitable companies with annual income below £25,000 on 1 July 2017. CICs would be allowed to convert from 1 October 2017. Given the history of previous delays in implementing CIO legislation these deadlines may slip.
